1. Introduction & Acceptance

Welcome to Avnee. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Avnee Finverse Private Limited ("Avnee", "we", "us", or "our") governing your access to and use of our AI-powered Network ERP software and related services.

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872; the Information Technology Act, 2000; the Consumer Protection Act, 2019; and the Digital Personal Data Protection Act, 2023.

To use our Services, you must be at least 18 years of age, have the legal authority to enter into binding agreements, have the authority to bind your business to these Terms (if registering on behalf of a business), not be prohibited from using the Services under applicable laws, and provide accurate and complete registration information.

4. Account Registration & Security

4.1 Registration: You must create an account to access our Services. You agree to provide accurate, current, and complete information during registration.

4.2 Security: You are responsible for maintaining the confidentiality of your login credentials, all activities that occur under your account, notifying us immediately of any unauthorised access, and enabling two-factor authentication when available.

4.3 Account Sharing: Account credentials must not be shared with unauthorised individuals. Each user must have their own account under your subscription plan.

5. Subscription & Payment

5.1 Plans: We offer various subscription tiers (Free, Basic, Standard, Premium) with different features and pricing.

5.2 Billing: Subscriptions are billed monthly or annually in advance. All prices are in Indian Rupees (INR) and include applicable GST. Payment is due at the start of each billing cycle. We accept UPI, credit/debit cards, and net banking.

5.3 Price Changes: We may modify pricing with 30 days' advance notice. Changes apply at your next billing cycle.

5.4 Refunds: Refund requests are governed by our Refund Policy.

6. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Services for your internal business purposes only. You may use the Services to manage your business operations, connect with other businesses on the Avnee Network for transactions, export your data at any time, invite authorised users within your subscription limits, and access the AI Assistant for business queries and automation.

8. User Data & Ownership

8.1 Your Data: You retain all ownership rights to your User Data. We do not claim ownership of any data you upload or create using our Services.

8.2 Licence to Us: You grant us a limited licence to host, store, process, and display your User Data solely to provide the Services to you.

8.3 Data Accuracy: You are responsible for the accuracy, quality, and legality of your User Data. We are not liable for any errors in your data.

8.4 Data Export: You may export your data at any time through the account settings or by contacting support.

8.5 Data Deletion: Upon account termination, your data will be retained for 30 days, after which it may be permanently deleted. Financial records may be retained longer as required by Indian tax laws.

9. AI Assistant & Automation

Our AI-powered features are designed to assist with business operations. You acknowledge that AI-generated outputs are suggestions and may contain errors, and you are responsible for reviewing and validating all AI-generated documents, entries, and insights before use. AI features do not constitute financial, legal, or tax advice. We are not liable for decisions made based on AI recommendations.

10. Avnee Network Terms

The Avnee Network allows you to connect and transact with other businesses. By using the Network, you consent to sharing transaction data with connected businesses, verify the identity of businesses you connect with, and understand that transactions on the Network are between you and the other party. Avnee is not a party to transactions and does not guarantee the performance of other users. Disputes between Network users should be resolved directly between the parties.

11. Intellectual Property

All intellectual property rights in the Services, including software, designs, logos, trademarks, and documentation, are owned by Avnee Finverse Private Limited or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code. If you provide suggestions or feedback about our Services, we may use them without any obligation to you.

12. Third-Party Services

Our Services may integrate with or contain links to third-party services (payment processors, tax filing systems, etc.). Third-party services are governed by their own terms and policies. We are not responsible for their availability, accuracy, or content. Your use of third-party integrations is at your own risk.

13. Service Availability & Support

13.1 Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance or updates.

13.2 Modifications: We may modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice for significant changes.

13.3 Support: Customer support is available via email at connect@avnee.tech. Response times vary by subscription plan.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted, or that they will meet your specific requirements.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Avnee shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim. We are not liable for any loss of profits, data, business, or goodwill, or for any errors in tax calculations, GST filings, or compliance.

16. Indemnification

You agree to indemnify, defend, and hold harmless Avnee Finverse Private Limited, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, your violation of any third-party rights, any content or data you submit through the Services, or your non-compliance with applicable laws.

17. Termination

17.1 By You: You may terminate your account at any time through your account settings or by contacting us.

17.2 By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal activities, have overdue payment for more than 15 days, or as required by law or legal process.

17.3 Effect of Termination: Upon termination, your access to the Services will cease. Sections of these Terms that by their nature should survive will continue to apply.

18. Dispute Resolution

18.1 Informal Resolution: Before initiating any formal proceedings, you agree to contact us at connect@avnee.tech and attempt to resolve the dispute informally for at least 30 days.

18.2 Arbitration: Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Patna, Bihar, India.

18.3 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

18.4 Jurisdiction: Subject to the arbitration clause, the courts of Patna, Bihar, India shall have exclusive jurisdiction.

19. General Provisions

19.1 Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Avnee.

19.2 Severability: If any provision is found invalid, the remaining provisions will continue in effect.

19.3 Waiver: Our failure to enforce any right does not constitute a waiver of that right.

19.4 Assignment: You may not assign these Terms without our consent. We may assign our rights freely.

19.5 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

20. Changes to These Terms

We may revise these Terms at any time. We will notify you of material changes via email, in-app notification, and an updated date at the top of this page. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
