Terms of Use

Welcome to Avnee. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Avnee Technologies ("Avnee", "we", "us", or "our") governing your access to and use of our AI-powered Network ERP software and related services.

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

These Terms are governed by and construed in accordance with the laws of India, including:

• The Indian Contract Act, 1872
• The Information Technology Act, 2000
• The Consumer Protection Act, 2019
• The Digital Personal Data Protection Act, 2023

• "Services" means the Avnee ERP platform, including web and mobile applications, AI Assistant, Transaction Transformation Layer, and all related features.
• "Account" means the user account created to access our Services.
• "User Data" means all data, content, and information you or your authorized users enter, upload, or generate using our Services.
• "Subscription" means the paid plan you select to access premium features.
• "Network" means the interconnected ecosystem of Avnee users who can transact and share data with each other.

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding agreements
• If registering on behalf of a business, have the authority to bind that business to these Terms
• Not be prohibited from using the Services under applicable laws
• Provide accurate and complete registration information

By using our Services, you represent and warrant that you meet all eligibility requirements.

4.1 Registration: You must create an account to access our Services. You agree to provide accurate, current, and complete information during registration.

4.2 Account Security: You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Enabling two-factor authentication when available

4.3 Account Sharing: Account credentials must not be shared with unauthorized individuals. Each user must have their own account under your subscription plan.

5.1 Subscription Plans: We offer various subscription tiers (Free, Basic, Standard, Premium) with different features and pricing. Details are available on our pricing page.

5.2 Billing:

• Subscriptions are billed monthly or annually in advance
• All prices are in Indian Rupees (INR) and include applicable GST
• Payment is due at the start of each billing cycle
• We accept payments via UPI, credit/debit cards, and net banking

5.3 Price Changes: We may modify pricing with 30 days' advance notice. Changes apply at your next billing cycle.

5.4 Refunds: Refund requests are governed by our Refund Policy.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes only.

You may:

• Use the Services to manage your business operations, accounting, and finances
• Connect with other businesses on the Avnee Network for transactions
• Export your data at any time
• Invite authorized users within your subscription limits
• Access the AI Assistant for business queries and automation

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of any laws
• Upload false, misleading, or fraudulent financial data
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated scripts or bots to access the Services without permission
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the integrity of the Services
• Resell, sublicense, or redistribute access to the Services
• Use the Services to facilitate tax evasion or money laundering
• Harass, abuse, or harm other users on the Network
• Circumvent any usage limits or access controls

8.1 Your Data: You retain all ownership rights to your User Data. We do not claim ownership of any data you upload or create using our Services.

8.2 License to Us: You grant us a limited license to host, store, process, and display your User Data solely to provide the Services to you.

8.3 Data Accuracy: You are responsible for the accuracy, quality, and legality of your User Data. We are not liable for any errors in your data.

8.4 Data Export: You may export your data at any time through the account settings or by contacting support.

8.5 Data Deletion: Upon account termination, your data will be retained for 30 days, after which it may be permanently deleted. Financial records may be retained longer as required by Indian tax laws.

Our AI-powered features are designed to assist with business operations. You acknowledge that:

• AI-generated outputs are suggestions and may contain errors
• You are responsible for reviewing and validating all AI-generated documents, entries, and insights before use
• AI features do not constitute financial, legal, or tax advice
• We are not liable for decisions made based on AI recommendations
• The Transaction Transformation Layer automates data but does not guarantee compliance with all regulations

The Avnee Network allows you to connect and transact with other businesses. By using the Network:

• You consent to sharing transaction data with connected businesses
• You verify the identity of businesses you connect with
• You understand that transactions on the Network are between you and the other party
• Avnee is not a party to transactions and does not guarantee the performance of other users
• Disputes between Network users should be resolved directly between the parties

11.1 Our IP: All intellectual property rights in the Services, including software, designs, logos, trademarks, and documentation, are owned by Avnee Technologies or our licensors.

11.2 Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code.

11.3 Feedback: If you provide suggestions or feedback about our Services, we may use it without any obligation to you.

Our Services may integrate with or contain links to third-party services (payment processors, tax filing systems, etc.). You acknowledge that:

• Third-party services are governed by their own terms and policies
• We are not responsible for the availability, accuracy, or content of third-party services
• Your use of third-party integrations is at your own risk
• Any data shared with third parties is subject to their privacy policies

13.1 Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance or updates.

13.2 Modifications: We may modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice for significant changes.

13.3 Support: Customer support is available via email at connect@avnee.tech. Response times vary by subscription plan.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Services will be error-free, secure, or uninterrupted
• We do not warrant that the Services will meet your specific requirements

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Avnee shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim
• We are not liable for any loss of profits, data, business, or goodwill
• We are not liable for any errors in tax calculations, GST filings, or compliance

These limitations apply regardless of the legal theory upon which damages may be claimed.

You agree to indemnify, defend, and hold harmless Avnee Technologies, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit through the Services
• Your non-compliance with applicable laws

17.1 By You: You may terminate your account at any time through your account settings or by contacting us.

17.2 By Us: We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your payment is overdue for more than 15 days
• Required by law or legal process

17.3 Effect of Termination: Upon termination, your access to the Services will cease. Sections of these Terms that by their nature should survive will continue to apply.

18.1 Informal Resolution: Before initiating any formal proceedings, you agree to contact us at connect@avnee.tech and attempt to resolve the dispute informally for at least 30 days.

18.2 Arbitration: Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Bengaluru, Karnataka, India.

18.3 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

18.4 Jurisdiction: Subject to the arbitration clause, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction.

19.1 Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Avnee.

19.2 Severability: If any provision is found invalid, the remaining provisions will continue in effect.

19.3 Waiver: Our failure to enforce any right does not constitute a waiver of that right.

19.4 Assignment: You may not assign these Terms without our consent. We may assign our rights freely.

19.5 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

We may revise these Terms at any time. We will notify you of material changes via:

• Email notification
• In-app notification
• Updated date at the top of this page

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
